Terms of Service

These Terms of Service ("Terms") govern your access to and use of Lumera StockFlow (the "Service"), operated by Lumera Technologies Inc. ("Lumera", "we", "us"). By creating an account or using the Service, you agree to be bound by these Terms.

1. The Service

Lumera StockFlow is a cloud-based multi-warehouse inventory management application that helps organizations track SKUs, stock levels, transfers, and related records.

2. Eligibility and accounts

You must be at least 18 years old and, if signing up on behalf of an organization, have authority to bind it. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information and keep it updated.

3. Acceptable use

You must not, and must not allow any user to:

• use the Service for any unlawful, infringing, fraudulent, or harmful purpose;
• send spam, malware, or attempt to gain unauthorized access to any system;
• scrape, probe, reverse engineer, or interfere with the security or integrity of the Service;
• resell, sublicense, or redistribute the Service without our written consent;
• circumvent technical limits, usage quotas, or access controls.

4. License

Subject to these Terms and timely payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service within your selected plan.

5. Intellectual property

Lumera and its licensors own all right, title, and interest in and to the Service, including its software, design, documentation, and branding. No rights are granted except as expressly set out in these Terms.

6. Your content

You retain ownership of all data and content you submit to the Service ("Your Content"). You grant Lumera a limited, worldwide license to host, process, copy, transmit, and display Your Content solely as necessary to provide and improve the Service. You represent that you have all rights necessary to submit Your Content.

7. Payments, billing, and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, subscription, cancellation and refund mechanics are governed by Paddle's Checkout Buyer Terms and our Refund Policy.

Subscriptions renew automatically at the end of each billing cycle until cancelled. You can cancel at any time through the in-app billing portal; cancellation takes effect at the end of the current paid period.

8. Free trial

We may offer a free trial. At the end of the trial, your workspace becomes read-only until you subscribe. Trial data is retained for a limited grace period after which it may be deleted.

9. Service availability

We strive to keep the Service available but we do not guarantee uninterrupted, timely, secure, or error-free operation. Scheduled maintenance, third-party outages, and force majeure events may affect availability.

10. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, present a security or fraud risk, or repeatedly violate our policies. You may terminate your account at any time. Upon termination you may export Your Content for a limited window, after which we may delete it.

11. Warranty disclaimer

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law, Lumera shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or goodwill. Our aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to liability. Nothing in these Terms excludes liability for fraud, gross negligence, death, or personal injury where such exclusion is prohibited by law.

13. Indemnification

You agree to indemnify and hold Lumera harmless from claims arising from Your Content, your misuse of the Service, or your breach of these Terms.

14. Governing law and venue

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws principles. The exclusive venue for any dispute shall be the proper courts of Metro Manila, Philippines.

15. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

16. Force majeure

Neither party is liable for failure or delay caused by events beyond reasonable control, including natural disasters, war, civil unrest, labor actions, internet or telecommunications failures, or government action.

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after the effective date constitutes acceptance of the updated Terms.
